• “Services” refers to all products, solutions, and digital work provided by Stack Jungle Technologies, including but not limited to web development, mobile development, desktop development, cloud hosting, server management, API development, big data solutions, predictive analytics, IT consultancy, cybersecurity, network configuration, graphic design, and all related technical or advisory activities.
• “Client,” “You,” or “Your” refers to any individual, business, organization, or entity using our website or services.
• “Project Agreement” refers to any written or digital contract, proposal, quotation, invoice, or statement of work provided to the client outlining deliverables, costs, timelines, and specific terms.

2. Acceptance of Terms

By accessing our website or engaging with our services:

• You acknowledge that you have read, understood, and agree to be legally bound by these Terms.
• If you are engaging on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Services Provided

Stack Jungle Technologies provides a wide range of technology services, including but not limited to:

• Mobile Application Development
• Desktop Software Development
• API Development & Integration
• Cloud Hosting & Deployment
• Server Management & DevOps
• Cybersecurity, Network Security & Firewalls

• Big Data Solutions & Predictive Analytics

• Graphic Design & UI/UX Solutions

We may modify, enhance, or discontinue services at any time without prior notice.

4. Project Engagement and Delivery

4.1. Project Proposals

All project timelines, costs, and deliverables will be outlined in a formal proposal or quote. Acceptance of a proposal implies agreement to the Project Agreement terms.

4.2. Client Obligations

You agree to:

• Provide accurate project information.
• Respond promptly to requests for content, approvals, or clarifications.
• Supply necessary credentials, server access, or documentation where applicable.
• Ensure that all provided materials (logos, content, images) do not infringe third-party rights.

4.3. Delays

Stack Jungle Technologies is not responsible for delays caused by:

• Late client feedback
• Failure to supply required materials
• Changes in project scope
• Third-party service outages

4.4. Revisions

Standard revisions are included as per your project agreement. Additional or significant changes outside the scope may incur extra charges.

5. Payments and Refunds

5.1. Payment Structure

Unless otherwise stated:

• 40% upfront deposit before commencement
• Remaining balance due upon delivery milestones specified in the contract
• Handover of source code, designs, or deployed systems occurs after full payment

5.2. Non-Refundable Deposits

Upfront deposits are non-refundable once active development, design, or consulting work has begun.

5.3. Refund Policy

Refund requests are handled under our official Refund Policy.

Refunds may be considered only when:

• No significant work has started
• There is documented non-performance from Stack Jungle Technologies

5.4. Late Payments

Late payments may result in:

• Suspension of ongoing work
• Delay in delivery
• Withholding of system access or credentials
• Additional administrative charges

6. Intellectual Property Rights

6.1. Our Property

Unless expressly transferred, Stack Jungle retains ownership of:

• Proprietary code libraries
• Internal tools
• Systems, methods, and frameworks used in development
• Templates or configuration scripts

6.2. Client Property

Upon full payment, clients receive:

• Rights to the final deliverables
• Complete ownership of custom-built systems, software, or designs
• Licenses for third-party tools where applicable (subject to their terms)

6.3. Portfolio Use

With your permission, Stack Jungle may showcase completed work in its portfolio, unless the project is confidential.

7. Confidentiality

We maintain strict confidentiality regarding:

• Client business information
• System credentials
• Project documentation
• Proprietary data
• Access keys or confidential materials

We will not disclose such information unless:

• Required by law
• Approved in writing by the client
• Necessary for subcontracted work (under strict NDA)

8. Third-Party Services

Some services rely on external providers such as:

• Hosting platforms (Google Cloud, AWS, DigitalOcean)
• Payment gateways (Flutterwave, PayPal)
• SMS or email providers
• Analytics tools (Google Analytics, Facebook Pixel)

Stack Jungle is not responsible for:

• Downtime caused by third-party providers
• Pricing changes by those providers
• Service interruptions or failures outside our control

Clients agree to comply with the terms of these third-party platforms.

9. Security and Data Protection

We implement strong security protocols, including:

• Encrypted communication
• Secure coding standards
• Firewalls and intrusion detection systems
• Data backup policies

However, no system is 100% immune to attacks. Clients must maintain secure practices such as:

• Strong passwords
• Proper access management
• Secure handling of administrative credentials

You agree not to hold Stack Jungle liable for security breaches resulting from client-side negligence.

10. Limitations of Liability

To the maximum extent permitted by law:

• Stack Jungle Technologies is not liable for indirect, incidental, consequential, or punitive damages.
• We are not responsible for loss of profits, data, business interruption, or reputational damage arising from the use of our services.
• Our total liability under any claim shall not exceed the amount paid for the specific service in question.

11. Warranty Disclaimer

All services are provided:

• “As-is”
• Without warranties of any kind, express or implied
• Including fitness for a particular purpose, reliability, or error-free performance

Software may require updates, maintenance, or improvements over time.

Ongoing support is available under separate maintenance contracts.

12. Indemnification

You agree to indemnify and hold Stack Jungle Technologies harmless from any claims, damages, liabilities, or expenses arising from:

• Misuse of our services
• Violations of these Terms
• Infringement of third-party rights
• Content or materials you provide

13. Termination

We may suspend or terminate services immediately if:

• You violate these Terms
• Payments are overdue
• Illegal or harmful activity is detected
• You misuse our systems or attempt unauthorized access

Upon termination:

• Work may cease immediately
• Access to systems may be revoked
• Outstanding balances remain due

14. Governing Law

These Terms shall be governed by the laws of: The Republic of Uganda

Any disputes shall be resolved in the courts of Uganda.

15. Modifications to Terms

We reserve the right to update or modify these Terms at any time.

Continued use of our website or services constitutes acceptance of revised Terms.
